3. Term and renewal

3.1 This Agreement continues for an initial term of twelve (12) months. Thereafter it shall automatically renew for successive twelve (12) month periods unless either party gives written notice of non-renewal at least sixty (60) days before the end of the then-current term¹.

3.2 Either party may terminate this Agreement for convenience upon ninety (90) days’ prior written notice² to the other party.

7. Fees

7.1 Customer shall pay each undisputed invoice within forty-five (45) days of receipt³. Section 4.2 of the Agreement is amended accordingly.

9. Confidentiality

9.1 Each party shall hold the other’s Confidential Information in strict confidence and use it only to perform this Agreement. This Section 9 survives for five (5) years after termination⁴.

6. Payment. Customer shall pay each undisputed invoice within sixty (60) days of receipt of a valid invoice.

11. Limitation of liability. Supplier’s aggregate liability under this Agreement shall be unlimited. Nothing in this Section limits liability for fraud.

14. Governing law. This Agreement is governed by the laws of England and Wales.
