1. Confidential Information
Information disclosed by either party that is marked confidential or would reasonably be understood to be confidential.
2. Term
This Agreement runs for three (3) years from the Effective Date. Section 3 survives for five (5) years after it ends.
3. Obligations
Each party shall protect the other's Confidential Information with at least reasonable care and use it only for the Purpose.
4. Carve-outs
Excludes information that is independently developed without reference to the disclosure.
7. Governing law
This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
